How this estimate works

The estimate adds up five parts. Each one is shown separately in the breakdown.

  1. State dissolution filing fee. The fee the formation state charges to file articles of dissolution or a certificate of cancellation.
  2. Overdue annual reports and franchise tax. Most states require every missed year to be filed and paid before they accept a dissolution.
  3. State late penalties. An estimate of the penalties states add for each late year.
  4. Tax return catch-up. If federal returns are not current, each missing year plus the final return must be prepared.
  5. Service fee. Our fee for coordinating the filings, the final returns and the account closures, which rises with the number of years to catch up.

Figures are illustrative placeholders and will be replaced with current state fee schedules. They are not a quote.

Frequently asked questions

What does it cost to dissolve an LLC or corporation?
For a company in good standing, the total is usually the state filing fee plus a service fee, often a few hundred dollars. For a company with missed filings, overdue annual reports, franchise tax, penalties and catch-up tax returns typically make up most of the cost.
Why does the estimate show a range?
State penalties depend on exact dates, and tax catch-up depends on how complex each year was. The range reflects that uncertainty. A firm quote is given after we check the state records.
Are state fees included in the estimate?
Yes. The breakdown separates the state's own fees and penalties from the service fee so you can see which part goes to the government.
What if my company was already dissolved by the state?
An administratively dissolved company usually has to be reinstated before it can be properly closed. That adds the reinstatement fee and the missed filings. Use the years since the last filing as the starting point and contact us for the exact steps.
